These Terms of Service ("Terms") govern your access to and use of the Sigvera platform, website, and related services (collectively, the "Service") operated by Sigvera ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Service Description

Sigvera is a business intelligence platform that provides structured company signal tracking, industry analysis, and cross-language intelligence services. The Service includes free and paid subscription tiers, each with different levels of access to features, data, and tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Account Registration and Security

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payment

Sigvera offers subscription plans with varying features and pricing. Paid subscriptions are processed through our authorized payment provider, Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. By purchasing a subscription, you agree to Paddle's terms of service and privacy policy in addition to these Terms. Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. Prices are displayed in USD and may be subject to applicable taxes as determined by Paddle based on your location. We reserve the right to change subscription pricing with at least 30 days' advance notice. Price changes will apply to subsequent billing periods, not the current one.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: • Use the Service to violate any applicable law or regulation. • Reproduce, redistribute, or resell any content from the Service without prior written consent. • Attempt to gain unauthorized access to any part of the Service or its related systems. • Use automated tools, bots, or scrapers to extract data from the Service beyond what is permitted by your subscription tier. • Interfere with or disrupt the integrity or performance of the Service. • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, data compilations, software, and the overall design and structure, are owned by Sigvera or its licensors and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Sigvera does not warrant that the Service will be uninterrupted, error-free, or completely secure. The intelligence and data provided through the Service are for informational purposes only and should not be construed as investment advice, legal advice, or any other form of professional counsel.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Sigvera and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
